We’re excited to have you as part of our community of small business owners and service professionals.
When you use SimplyCalled (“we,” “our,” or “us”), you’re using tools designed to help you manage calls, messages, and your business website easily from your phone.

These Terms and Conditions (“Terms”) explain the rules and responsibilities that apply when you use the SimplyCalled mobile app (“App”).

By downloading, installing, or using the App, you agree to these Terms.
If you don’t agree, please do not use SimplyCalled — though we hope you’ll stay and enjoy everything the app has to offer.

1. Overview of the Service

SimplyCalled helps small-business users manage customer communications through tools that include:

• Caller identification and call tracking

• Automated SMS responses to missed calls

• Lightweight CRM and task management

• A website-builder that lets users create and share a public link

These features are provided for lawful personal or business use within the United States.

2. Eligibility and Account

You must be at least 18 years old to use SimplyCalled.
You agree that all registration information you provide is accurate and will be kept current.
You are responsible for maintaining the confidentiality of your credentials and for all activity on your account.

3. Acceptable Use

You agree not to use SimplyCalled to:

• Violate any law or regulation

• Send spam or fraudulent messages

• Impersonate another person or business

• Interfere with the App’s operation or security

• Misuse the App to harm or exploit others

We may suspend or terminate your account if we believe you have violated these Terms or any applicable law.

4. Automated SMS Replies

SimplyCalled can automatically send an SMS message to callers who attempt to reach you but do not connect.
These messages:

• Are sent on your behalf, using your device or messaging identity

• May include a link to your SimplyCalled-generated website or other information you specify

• Are triggered only by an incoming call to you

By using SimplyCalled, you authorize the App to send such messages automatically.
You acknowledge that you are the sender of record for these communications and that SimplyCalled is not responsiblefor their content, timing, or compliance with any telemarketing or messaging laws.
You agree to use this feature only in accordance with applicable local, state, and federal regulations (including the Telephone Consumer Protection Act).

5. User-Generated Content and Websites

SimplyCalled enables you to create and publish content — including text, photos, and websites — that may be publicly accessible.
You are solely responsible for all content you create, upload, or share through SimplyCalled.

SimplyCalled does not control, pre-screen, or endorse user-generated content and is not responsible for it.
We do not guarantee that any content created by users will be accurate, lawful, or appropriate.
You understand that other users may create content that is offensive or otherwise objectionable, and you access such content at your own risk.

We reserve the right, but have no obligation, to review, restrict, or remove user content that we believe may violate law or these Terms.
If you believe material published through SimplyCalled violates your rights or the law, contact info@simplycalled.com, and we will review it.

By uploading or publishing any content through SimplyCalled, you grant us a limited, non-exclusive license to host, display, and distribute that content solely to operate and improve the App.

6. Subscriptions and Payments

Certain features may require a paid subscription.
All fees, renewal terms, and cancellation methods will be disclosed in-app or through the app store.
Except where required by law, payments are non-refundable once processed.

7. Intellectual Property

All intellectual-property rights in SimplyCalled, including software, design, and trademarks, belong to SimplyCalled or its licensors.
You may not copy, modify, reverse-engineer, or distribute any part of the App except as expressly permitted.

8. Privacy

Your use of SimplyCalled is governed by our Privacy Policy.
By using the App, you consent to our collection and use of data as described there.

9. Third-Party Services

The App may link to or integrate with third-party services such as Google or Facebook.
SimplyCalled is not responsible for the actions, content, or policies of those third parties.

10. Disclaimers and Limitation of Liability

The App is provided “as is” and “as available.”
To the maximum extent permitted by law, SimplyCalled disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

SimplyCalled, its officers, employees, and affiliates will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the App — including loss of data, revenue, or business opportunities.

Your sole remedy for dissatisfaction with the App is to discontinue its use and uninstall it.

11. Indemnification

You agree to indemnify and hold harmless SimplyCalled, its affiliates, officers, and employees from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the App or any website or message created through it

• Your violation of these Terms or any law

• Your infringement of any third-party rights

12. Termination

We may suspend or terminate your account or access to SimplyCalled at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that could harm SimplyCalled or others.

13. Changes to These Terms

We may modify these Terms from time to time.
Material updates will be announced in-app or by email.
By continuing to use SimplyCalled after updates take effect, you agree to the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the state or federal courts located in New York County, NY.
